1. Introduction and Acceptance of Terms

Welcome to Sub Telecom. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "You", "Your") and Sub Telecom ("We", "Us", "Our", "Company") governing your access to and use of the Sub Telecom mobile application and e-commerce platform (collectively, the "Platform").

By accessing, browsing, or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy. If you do not agree with any part of these Terms, you must immediately discontinue use of our Platform.

Age Requirement: You must be at least 18 years of age to create an account and make purchases on our Platform. By using our services, you represent and warrant that you meet this age requirement.

2. Account Registration and User Responsibilities

2.1 Account Creation

To access certain features of our Platform, including making purchases, you may create a user account by providing the following information:

  1. Full Name
  2. Valid Email Address
  3. Physical Address (for delivery purposes)
  4. Password (created by you)

2.2 Account Security

You are responsible for:

  1. Maintaining the confidentiality of your account credentials
  2. All activities that occur under your account
  3. Immediately notifying us of any unauthorized access or security breach
  4. Ensuring that all information provided is accurate, current, and complete

We reserve the right to suspend or terminate accounts that provide false, misleading, or incomplete information.

2.3 Account Deletion and Data Removal

You have the right to delete your account at any time through the Platform settings or by contacting our customer support team. Upon account deletion:

  1. All personal data associated with your account will be permanently removed from our active databases
  2. Your order history and transaction records may be retained for legal and accounting purposes as required by applicable law
  3. Deletion is irreversible and cannot be undone
  4. You will receive confirmation of account deletion via email

Processing Time: Account deletion requests are processed within 7-14 business days.

3. Privacy and Data Protection

3.1 Information Collection and Use

We collect and process personal information solely for the purposes of:

  1. Account management and authentication
  2. Order processing and fulfillment
  3. Customer service and support
  4. Platform improvement and analytics
  5. Sending order updates and notifications

3.2 Third-Party Sharing Policy

We do NOT share, sell, rent, or transfer your personal information to third-party providers for marketing or commercial purposes. Your data is treated with the highest level of confidentiality and security.

Limited data sharing may occur only in the following circumstances:

  1. Payment processing through secure, certified payment gateways
  2. Shipping and delivery coordination with our logistics partners (only delivery-related information)
  3. Compliance with legal obligations, court orders, or law enforcement requests

4. Product Browsing and Guest Checkout

4.1 Browsing Without Account

You may browse our product catalog, view product details, read reviews, and access general information without creating an account or logging in.

4.2 Guest Checkout Option

We offer a guest checkout feature that allows you to make purchases without creating an account. During guest checkout, you will be required to provide:

  2. Shipping address
  3. Payment information

Important: Guest checkout orders cannot be tracked through an account dashboard. You will receive order confirmation and tracking information via email.

5. Product Information and Pricing

5.1 Product Descriptions

We strive to provide accurate product descriptions, specifications, images, and pricing. However:

  1. Product images are for illustrative purposes and actual products may vary slightly
  2. We reserve the right to correct errors, inaccuracies, or omissions at any time
  3. All product specifications are subject to manufacturer changes

5.2 Pricing and Availability

  1. All prices are listed in Nepali Rupees (NPR)
  2. Prices are subject to change without prior notice
  3. Product availability is not guaranteed until order confirmation
  4. We reserve the right to limit quantities purchased per customer
  5. Promotional prices and offers are valid for specified periods only

5.3 Product Authenticity

All products sold on our Platform are 100% authentic and sourced from authorized distributors and manufacturers. Each product comes with manufacturer warranty as applicable.

6. Order Placement and Confirmation

6.1 Order Process

  1. Add products to your shopping cart
  2. Review your order and apply any discount codes
  3. Provide or verify shipping information
  4. Select payment method and complete payment
  5. Receive order confirmation via email

6.2 Order Acceptance

Your order constitutes an offer to purchase products. Order confirmation does not constitute our acceptance of your order. We reserve the right to:

  1. Accept or decline any order for any reason
  2. Verify order details before processing
  3. Request additional information for order verification
  4. Cancel orders suspected of fraud or unauthorized use

Official Acceptance: Your order is officially accepted only when it is confirmed by our Sub Telecom team and you receive a confirmation notification.

6.3 Order Notifications

You will receive notifications at various stages:

  1. Order received confirmation
  2. Payment confirmation
  3. Order confirmed by Sub Telecom team
  4. Order dispatched notification
  5. Out for delivery alert
  6. Delivery confirmation

Notifications are sent via:

  1. Push notifications (if enabled)
  2. Email
  3. SMS (for critical updates)

7. Payment Terms

7.1 Accepted Payment Methods

We accept the following payment methods:

  1. Credit/Debit Cards (Visa, Mastercard, etc.)
  2. Mobile Banking and Wallets
  3. Cash on Delivery (COD) - where available
  4. Bank Transfer
  5. Other payment methods as displayed during checkout

7.2 Payment Security

All online payments are processed through secure, PCI-DSS compliant payment gateways. We do not store complete credit card information on our servers.

7.3 Payment Confirmation

Orders are processed only after successful payment verification. For Cash on Delivery, payment must be made at the time of delivery.

8. Shipping and Delivery

8.1 Delivery Coverage

We provide delivery services throughout Nepal:

Kathmandu Valley:

  1. Same-day delivery available for orders placed before 2:00 PM
  2. Standard delivery: Within 24 hours
  3. Delivery charges apply based on order value and location

Outside Kathmandu Valley (All Nepal):

  1. Delivery within 2-3 business days
  2. Remote areas may require additional 1-2 days
  3. Delivery charges vary by location and order value

8.2 Delivery Information

  1. You will receive real-time tracking information via the Platform and email
  2. Ensure accurate delivery address to avoid delays
  3. A valid contact number must be provided for delivery coordination
  4. Recipient must be available to accept delivery and verify order

8.3 Delivery Failure

If delivery cannot be completed due to:

  1. Incorrect address information
  2. Recipient unavailability after multiple attempts
  3. Refusal to accept delivery

We will contact you to arrange re-delivery. Additional charges may apply for re-delivery attempts.

8.4 Risk of Loss

Risk of loss and title for products pass to you upon delivery to the shipping address provided.

9. Order Cancellation Policy

9.1 Cancellation by Customer

You may cancel your order before it is confirmed by the Sub Telecom team. Once our team has confirmed and begun processing your order, cancellation is not guaranteed.

How to Cancel:

  1. Through the Platform: Go to "My Orders" and select "Cancel Order"
  2. Contact customer support via phone or email
  3. Cancellation requests are subject to verification

9.2 Cancellation Timeframe

  1. Orders can be cancelled within the confirmation window (typically 1-2 hours after placement)
  2. Once order status shows "Confirmed" or "Dispatched", cancellation may not be possible
  3. For urgent cancellations, contact customer support immediately

9.3 Refund for Cancelled Orders

  1. Full refund will be processed for successfully cancelled orders
  2. Refund timeline: 5-7 business days to original payment method
  3. COD orders will not incur any charges upon cancellation

9.4 Cancellation by Sub Telecom

We reserve the right to cancel orders due to:

  1. Product unavailability
  2. Pricing or product information errors
  3. Suspected fraudulent activity
  4. Inability to verify customer information
  5. Force majeure events

You will be notified immediately and receive a full refund if applicable.

10. Return and Refund Policy

10.1 Return Eligibility

We accept returns for products that customers do not like or are unsatisfied with, subject to the following conditions:

Eligible for Return:

  1. Product must be in original, unused condition
  2. All original packaging, tags, labels, and accessories must be intact
  3. Return request must be initiated within 7 days of delivery
  4. Product must not be damaged due to misuse or negligence

Non-Returnable Items:

  1. Products without original packaging
  2. Used, worn, or damaged products
  3. Hygiene-sensitive items (earphones, personal care devices)
  4. Software, digital codes, or downloadable products
  5. Products marked as "non-returnable" at the time of purchase

10.2 Return Process

  1. Contact customer support within 7 days of delivery
  2. Provide order number and reason for return
  3. Our team will review and approve the return request
  4. Product will be picked up from your address (pickup charges may apply)
  5. Product inspection upon receipt
  6. Refund processing upon approval

10.3 Refund Processing

  1. Refunds are processed within 7-14 business days after product inspection
  2. Refund will be credited to the original payment method
  3. For COD orders, refund will be processed via bank transfer
  4. Shipping charges are non-refundable unless the return is due to our error

10.4 Defective or Damaged Products

If you receive a defective or damaged product:

  1. Notify us within 48 hours of delivery
  2. Provide photographic evidence of the defect/damage
  3. We will arrange for immediate replacement or full refund
  4. No charges will apply for returns due to defects or damage

10.5 Wrong Product Delivered

If you receive an incorrect product:

  1. Contact us immediately upon delivery
  2. We will arrange pickup and deliver the correct product
  3. No additional charges will apply

11. Warranty and After-Sales Service

11.1 Manufacturer Warranty

All products come with manufacturer warranty as applicable. Warranty terms, duration, and coverage are determined by the manufacturer.

11.2 Warranty Claims

For warranty claims:

  1. Contact our customer support team
  2. Provide proof of purchase and warranty details
  3. Follow the warranty claim process as specified by the manufacturer
  4. We will assist in coordinating with manufacturers for warranty service

11.3 Repair Services

We offer professional repair services for mobile phones and electronics. Repair terms and warranty are subject to separate service agreements.

12. Intellectual Property Rights

12.1 Platform Content

All content on the Platform, including but not limited to:

  1. Text, graphics, logos, images
  2. Software, applications, and code
  3. Product descriptions and photography
  4. Trademarks and service marks

are the property of Sub Telecom or our licensors and are protected by intellectual property laws.

12.2 User License

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes only.

12.3 Prohibited Use

You may not:

  1. Copy, reproduce, or distribute Platform content without permission
  2. Modify, reverse engineer, or create derivative works
  3. Use automated systems (bots, scrapers) to access the Platform
  4. Remove or alter copyright notices or trademarks

13. User Conduct and Prohibited Activities

You agree not to:

  1. Violate any applicable laws or regulations
  2. Infringe upon intellectual property rights
  3. Transmit harmful code, viruses, or malware
  4. Engage in fraudulent activities or misrepresent information
  5. Harass, abuse, or harm other users or our staff
  6. Attempt to gain unauthorized access to our systems
  7. Use the Platform for any illegal or unauthorized purpose
  8. Post false reviews or manipulate ratings
  9. Resell products for commercial purposes without authorization

Violation of these terms may result in account suspension or termination and legal action.

14. Limitation of Liability

14.1 Service Availability

We strive to maintain uninterrupted Platform access but do not guarantee:

  1. Continuous, error-free operation
  2. Freedom from viruses or harmful components
  3. Accuracy of all information displayed
  4. Availability of all products at all times

14.2 Liability Limitations

To the maximum extent permitted by law, Sub Telecom shall not be liable for:

  1. Indirect, incidental, special, or consequential damages
  2. Loss of profits, data, or business opportunities
  3. Service interruptions or technical failures
  4. Third-party actions or content
  5. Events beyond our reasonable control (force majeure)

Our total liability for any claim shall not exceed the amount paid by you for the specific product or service giving rise to the claim.

14.3 Indemnification

You agree to indemnify and hold Sub Telecom harmless from any claims, damages, losses, or expenses arising from:

  1. Your violation of these Terms
  2. Your use of the Platform
  3. Your violation of any third-party rights

15. Compliance with E-Commerce Regulations

Sub Telecom operates in full compliance with:

  1. Nepal's e-commerce laws and regulations
  2. Consumer Protection Act
  3. Electronic Transaction Act
  4. Data Protection and Privacy laws
  5. Tax and financial regulations
  6. Google Play Store policies and guidelines
  7. Apple App Store review guidelines

We are committed to:

  1. Transparent business practices
  2. Fair pricing and accurate product representation
  3. Secure payment processing
  4. Consumer rights protection
  5. Ethical business conduct

16. App Store Compliance

16.1 Google Play Store

Our Android application complies with all Google Play Store policies including:

  1. User data privacy and security
  2. Restricted content policies
  3. Monetization and advertising guidelines
  4. Technical and quality standards

16.2 Apple App Store

Our iOS application complies with all Apple App Store guidelines including:

  1. Safety and performance standards
  2. Business model requirements
  3. Design and user interface guidelines
  4. Legal compliance requirements

17. Dispute Resolution

17.1 Customer Support First

We encourage you to contact our customer support team first to resolve any issues or concerns. Most disputes can be resolved quickly through direct communication.

17.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nepal.

17.3 Jurisdiction

Any disputes arising from these Terms or use of our Platform shall be subject to the exclusive jurisdiction of the courts located in Kathmandu, Nepal.

17.4 Arbitration

For disputes that cannot be resolved through customer support, both parties agree to attempt resolution through mediation or arbitration before pursuing litigation.

18. Modifications to Terms

18.1 Right to Modify

We reserve the right to modify, update, or change these Terms at any time. Modifications will be effective immediately upon posting to the Platform.

18.2 Notification

Significant changes will be communicated through:

  1. Email notification to registered users
  2. In-app notifications
  3. Prominent notice on the Platform

18.3 Continued Use

Your continued use of the Platform after changes constitute acceptance of the modified Terms. If you do not agree with changes, you must discontinue use of the Platform.

19. Termination

19.1 Termination by User

You may terminate your account at any time by:

  1. Using the account deletion feature in the Platform
  2. Contacting customer support
  3. Requesting account closure via email

19.2 Termination by Sub Telecom

We reserve the right to suspend or terminate your account if:

  1. You violate these Terms
  2. You engage in fraudulent or illegal activities
  3. You abuse our Platform or services
  4. Required by law or legal process

19.3 Effect of Termination

Upon termination:

  1. Your access to the Platform will be revoked
  2. Outstanding orders will be processed according to existing commitments
  3. Your personal data will be handled according to our Privacy Policy
  4. Certain provisions of these Terms will survive termination

20. General Provisions

20.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sub Telecom.

20.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

20.3 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

20.4 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights without restriction.

20.5 Language

These Terms are provided in English. In case of any translation, the English version shall prevail.

22. Acknowledgment

By using the Sub Telecom Platform, you acknowledge that:

  3. You have the legal capacity to enter into this agreement
  4. You will comply with all applicable laws and regulations
  5. You understand your rights regarding account deletion and data privacy
  6. You consent to receiving notifications and communications related to your orders
